HICL’s Investment Manager, InfraRed, is committed to high standards of corporate governance. Both HICL and InfraRed have a comprehensive range of policies and systems in place to ensure that the Company is well-managed, with effective oversight and control.

The Board is responsible for leading and controlling the company and has overall authority for the management and conduct of the business of the company.

The role of HICL’s Board is to manage the Company in the interests of shareholders and other stakeholders. In particular, the Board approves and monitors adherence to the Investment Policy, determines risk appetite, sets policies, agrees levels of delegation to key service providers and monitors their activities and performance (including, specifically, that of the Investment Manager) against agreed objectives. The Board will take advice from the Investment Manager, where appropriate – for example, on matters concerning the market, the portfolio and new investment opportunities.

Good corporate governance is fundamental to the way that HICL and its Investment Manager conducts business. Particularly in a volatile economic and political environment, effective oversight of strategy, risk management and people are vital to the delivery of long-term, sustainable value to the Company’s stakeholders.
